Under the U.S. Electronic Signatures in Global and National Commerce (ESIGN) Act and the Uniform Electronic Transactions Act (UETA), typing your name into the signature field of this agreement constitutes a legally binding electronic signature. You cannot claim you didn't sign because you "just typed your name." Your typed name, timestamp, and IP address are recorded as your legal consent.
Every person has a legal right to control how their name, image, and likeness is used commercially. Texas right of publicity law (Tex. Prop. Code § 26.001 et seq.) and similar laws in all 50 states protect you. By signing this agreement, you are NOT giving up ownership — you are granting the Network a limited, revocable license for specific purposes during a specific time period.
Federal and state laws are rapidly evolving to protect individuals from unauthorized AI-generated content. This contract goes beyond current minimum requirements by requiring your explicit approval of every AI avatar and voice clone before it is deployed. The NO FAKES Act (proposed federal legislation) and state-level deep fake laws inform the protections in Article IV of this contract. We will NEVER use a version of you that you have not personally approved.
The Children's Online Privacy Protection Act (COPPA) provides special protections for children under 13. If you are under 13, or if you are a parent signing for a child under 13, additional consent steps apply. No minor under 13 may sign this agreement without verified, written parental consent. No commercial use of a minor's voice or likeness shall occur without a parent or guardian co-signing and the Network's legal team reviewing and approving the use.
This is a legally binding contract governed by Texas law. It creates real obligations: the Network must pay you, use your NIL only as approved, destroy your data when the contract ends, and treat you equitably. You must provide accurate information, not violate the limited non-compete, and not use your employer's school or institution's brand without permission. Once signed, neither party can walk away without following the termination procedures in Article XI.
IMPORTANT: The Positive Light Learning Network does NOT produce live-action commercials with your real physical presence. We create AI-powered avatar versions of you. The AI scripts what your avatar says using language we develop. Your avatar's voice (cloned from recordings you provide) will speak curriculum-aligned content that we write. You must approve every script and every avatar video before it is shown to students. This is not optional — it is written into your contract as a non-waivable right.
You must answer all 5 questions correctly before you can proceed to sign. You have unlimited attempts — we want you to understand, not just pass. If you answer incorrectly, you'll be shown the right answer and why.

This section defines every key term used in the contract. Critically, "NIL Assets" includes your name, face, image, voice, teaching style, and any AI-generated or digital version of any of these. "Digital Avatar" means any AI-generated representation of you — including but not limited to your face, voice, and mannerisms. "AI-Generated Content" means anything created by AI that uses your NIL Assets as source material.
You are granting the Network a non-exclusive (meaning you can still use your NIL elsewhere), royalty-bearing (meaning you get paid), worldwide license for your NIL Assets for Approved Uses only. The license is NOT permanent — it ends when this contract ends. The Network may sublicense your content to schools and educational institutions for course delivery only.
You earn money through: (1) a one-time signing fee; (2) enrollment royalties of 22%–38% depending on how many students enroll through your personal link; (3) 70% of every live tutoring session fee; and (4) a grant attribution bonus. If the Network cancels a project after you've started it, you receive a Kill Fee of 50% of the full project amount. Payments are made monthly with full royalty statements.
Every AI-generated use of your likeness requires your specific prior written approval. Your voice cannot be cloned without disclosure of the technology and your approval of the result. Your avatar cannot be whitewashed, altered to erase your cultural identity, or changed without your consent. All AI systems must pass quarterly bias audits. When this contract ends, all AI models must be destroyed within 30 days and you receive a written certificate of destruction.
No matter what — even if you later agree verbally — your NIL Assets CANNOT be used for:
The Network is legally obligated to treat all educators equally regardless of race, gender, accent, or cultural identity. An independent Equity Review Board (majority persons of color) oversees pay equity, AI bias audits, and educator complaints. If you ever feel you've been treated unfairly, you have a formal grievance process — and if unresolved, the right to mediation and arbitration. The Network must publish an annual Equity Transparency Report.
The Network can only terminate this contract for a Moral Turpitude Event — defined as a final criminal conviction for a felony involving fraud, violence, or sexual misconduct. They CANNOT terminate you for: social media posts, online controversies, political opinions, community activism, news coverage, or being arrested (without conviction). Before any termination, they must give you 30 days written notice and a chance to respond. You keep all money earned before termination.
This contract lasts 2 years initially, then auto-renews for 1-year periods unless either party gives 60 days' written notice. Either party can leave for any reason with 60 days' notice — no penalty, no drama. When you give notice, there's a 90-day wind-down where existing students finish courses but no new enrollments happen. All your money owed is paid within 30 days of termination. The Network must remove your profile and content within 30 days.
